Terms and conditions

General terms and conditions of sale, delivery and payment of Daza B.V., established in Roosendaal, the Netherlands, registered with the Chamber of Commerce (KvK) under number 20094917.

Article 1. Definitions

  • Daza: Daza B.V.
  • Client: any (legal) person who enters into or wishes to enter into an agreement with Daza.
  • Products: all goods and services supplied by Daza, including sensors, transmitters, receivers, pagers, software, installation, service and repair.

Article 2. Applicability

These terms apply to all offers, quotations and agreements of Daza. Deviations only apply if agreed in writing. The client’s general terms and conditions do not apply, unless Daza has expressly accepted them in writing.

Article 3. Quotations and formation of the agreement

Quotations from Daza are without obligation and valid for 30 days, unless stated otherwise. An agreement is concluded by written confirmation from Daza or when Daza starts its performance.

Article 4. Prices

All prices are in euros, exclusive of VAT and exclusive of shipping, installation and other additional costs, unless stated otherwise. Daza may adjust prices if cost-determining factors change.

Article 5. Delivery and delivery time

Delivery takes place in the manner and at the address set out in the agreement. Stated delivery times are indicative and not strict deadlines. If they are exceeded, the client is not entitled to compensation or termination, unless Daza still fails to deliver after a reasonable additional period. The risk passes to the client at the moment of delivery.

Article 6. Payment

Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing. In the event of late payment, the client owes the statutory commercial interest without notice of default, plus reasonable collection costs.

Article 7. Retention of title

Delivered products remain the property of Daza until the client has paid all amounts due in full.

Article 8. Installation and use

The client is responsible for correct use in accordance with the manual and for a suitable environment, such as a working nurse call system to which the products are connected. Daza products are aids to support care and do not replace supervision by caregivers.

Article 9. Warranty

Daza guarantees that the products meet the agreed specifications upon delivery. The warranty period is 12 months after delivery. The warranty lapses in the event of incorrect use, own repairs, modifications by third parties, normal wear and tear (such as batteries) and damage due to external causes.

Article 10. Complaints and repair

The client reports visible defects in writing within 8 days of delivery. For repair, the client sends the product with the completed repair form to Daza B.V., Vlierwerf 1, 4704 SB Roosendaal, the Netherlands. Repairs outside the warranty are estimated in advance.

Article 11. Liability

Daza’s liability is limited to direct damage and to a maximum of the invoice amount of the delivery concerned or, if lower, the amount paid out by Daza’s insurer in the case concerned. Daza is not liable for indirect damage, including consequential damage and loss of profit, unless there is intent or deliberate recklessness.

Article 12. Force majeure

In the event of force majeure, including disruptions at suppliers, transport problems and shortages of parts, Daza’s obligations are suspended. If the force majeure lasts longer than 90 days, both parties may terminate the agreement without compensation.

Article 13. Privacy

Daza processes personal data in accordance with its privacy statement. Where Daza processes data on behalf of the client, the parties conclude a data processing agreement.

Article 14. Applicable law

All agreements are governed by Dutch law.
